Please read these Terms of Service carefully before subscribing to or using any services provided by Bound Contracting Services. By subscribing, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

1 Service Description

Bound Contracting Services ("BCS," "we," "our," or "us") provides a subscription-based contract notification and information delivery service. We aggregate and distribute publicly available government contract opportunity data from federal, state, and local government sources to subscribers via daily email digest.

BCS is an information aggregation and notification service only. We are not a contracting firm, procurement consultant, legal advisor, bidding service, or government representative of any kind. We do not assist in the preparation, submission, or management of bids or proposals.

2 No Guarantee of Completeness or Accuracy

BCS makes no warranty, express or implied, that the contract opportunities delivered through our service are complete, accurate, current, or exhaustive. Government contract data is sourced from third-party APIs and public portals that may experience outages, delays, data errors, or incomplete postings at any time.

We do not guarantee that every available contract in your industry or location will be included in your digest. Missed contracts, delayed notifications, inaccurate data, incorrect industry classifications, missing contract details, or incorrect due dates are expressly excluded from any claim of liability against BCS.

You are solely responsible for independently verifying any contract information before taking action, including checking official government sources such as SAM.gov and your state's procurement portal directly.

3 No Liability for Missed Opportunities

BCS shall not be held liable for any loss of business opportunity, lost revenue, lost contracts, missed bid deadlines, or any other damages arising from:

(a) contracts not appearing in your digest for any reason; (b) delayed or failed delivery of contract notifications; (c) inaccurate, incomplete, or outdated contract information; (d) technical failures of our platform or any third-party data providers; (e) your failure to review your digest in a timely manner; (f) changes to contract details after delivery; or (g) any decision made in reliance on information provided by BCS.

Your use of this service is entirely at your own risk. BCS is a convenience tool — it does not replace your obligation to actively monitor official government procurement sources.

4 Not Legal, Financial, or Procurement Advice

Nothing provided by BCS — including contract listings, guides, educational materials, email communications, tips, or any other content — constitutes legal advice, financial advice, procurement consulting, or bidding assistance of any kind.

BCS is not a licensed attorney, financial advisor, CPA, or procurement specialist. You should consult qualified legal and financial professionals before making any business, bidding, or contracting decisions.

5 Subscription, Billing, and Cancellation

Subscriptions are billed monthly at the rate selected at time of signup. You may cancel your subscription at any time by emailing sales@boundcs.com. Cancellations take effect at the end of the current billing period.

No partial refunds are issued for unused days in a billing cycle. BCS reserves the right to modify pricing with 30 days written notice to your subscription email. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.

BCS reserves the right to suspend or terminate your subscription for non-payment or violation of these Terms without refund.

6 Limitation of Liability

To the maximum extent permitted by applicable law, BCS's total cumulative liability to you for any and all claims shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the claim.

In no event shall BCS, its owner, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation: loss of profits, loss of revenue, loss of business, loss of contracts, loss of data, or business interruption — even if BCS has been advised of the possibility of such damages.

7 Data and Privacy

We collect and store information you provide when subscribing, including name, company, email address, phone number, industry, and location. This information is used solely to deliver your subscription services and communicate with you about your account.

We do not sell, rent, or share your personal information with third parties for marketing purposes. We may share data with service providers necessary to operate our platform. By subscribing, you consent to receiving daily email communications from BCS at the address you provide. You may unsubscribe at any time.

8 Acceptable Use

You agree not to resell, redistribute, sublicense, or otherwise commercially exploit the contract data or any other content delivered by BCS without express written permission. You may not use BCS services for any unlawful purpose or in any manner that could damage, disable, or impair our services.

BCS reserves the right to terminate your subscription immediately and without refund if you violate these Terms or engage in any abusive, fraudulent, or harmful conduct.

9 Intellectual Property

All content, branding, guides, educational materials, and proprietary methodology developed by BCS remain the sole intellectual property of Bound Contracting Services. The free bidding guide and all related materials are provided for your personal, non-commercial use only and may not be reproduced, distributed, or sold without written permission.

10 Third-Party Data Sources

Contract data is sourced from third-party government APIs and portals including but not limited to SAM.gov, HigherGov, and various state and local procurement systems. BCS has no control over the accuracy, completeness, or availability of data from these sources.

Downtime, API failures, data quality issues, or changes in data availability from third-party providers are expressly outside the scope of BCS liability. We do not warrant the continued availability of any third-party data source.

11 Service Availability

BCS does not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any aspect of our service at any time with reasonable notice. Scheduled or unscheduled maintenance, technical failures, or force majeure events that result in service interruptions do not entitle subscribers to refunds or compensation.

12 Indemnification

You agree to indemnify, defend, and hold harmless Bound Contracting Services, its owner, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: your use of our services; your violation of these Terms; or your violation of any applicable laws or regulations.

13 Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Indiana without regard to conflict of law provisions. Any disputes shall first be attempted to be resolved through good-faith negotiation between the parties.

If unresolved within 30 days, disputes shall be submitted to binding arbitration in Indiana under the rules of the American Arbitration Association. You waive any right to a jury trial or participation in a class action proceeding against BCS.

14 Modifications to Terms

BCS reserves the right to update or modify these Terms at any time. We will notify active subscribers of material changes via email with at least 14 days notice before the effective date. Continued use of the service after the effective date constitutes your acceptance of the revised Terms.

15 Entire Agreement

These Terms constitute the entire agreement between you and Bound Contracting Services with respect to the subject matter herein and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
